1. Acceptance of Terms
By accessing or using the services provided by nexyra ("we," "us," or "our"), including our website design, mobile development, AI solutions, and hosting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Offered
We provide digital engineering solutions tailored for startups and enterprises, including but not limited to:
- Web & Mobile Engineering: Custom development using modern frameworks suitable for high-scale environments.
- AI & Automation: Integration of LLMs and custom scripting to automate business workflows.
- Infrastructure & Hosting: Setup and management of cloud infrastructure, domains, and corporate email systems.
- Digital Marketing: Paid ads, marketing operations, and brand growth strategies.
3. Intellectual Property Rights
Upon full payment of all fees, nexyra grants the Client a perpetual, non-exclusive, world-wide license to use the final deliverables for their business purposes. nexyra retains ownership of any pre-existing code, tools, or libraries used in the project, which remain our intellectual property.
4. Client Responsibilities
You agree to provide all necessary assets, content, and access credentials required for us to perform the services. Delays in providing these materials may result in project timeline adjustments. You warrant that you own or have the right to use all content provided to us.
5. Payment Terms
Payment schedules and terms are defined in individual project proposals or contracts. Unless otherwise specified, invoices are due upon receipt. We reserve the right to suspend services for late payments.
6. Limitation of Liability
To the fullest extent permitted by law, nexyra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or related to our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
7. Hosting & Infrastructure
For clients utilizing our hosting setup services (including domain and email configuration), we act as a setup partner. You are responsible for ongoing subscription costs to third-party providers (e.g., AWS, Google Workspace, Vercel) unless a managed service agreement is in place.
